Ownership of work product created under a service engagement will be specified in the applicable service agreement. Unless otherwise agreed in writing, custom developments created specifically for you will be transferred to you upon full payment.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in individual service agreements.
Except as expressly stated in a service agreement, our services are provided on an AS IS and AS AVAILABLE basis. We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that technology services involve inherent risks and uncertainties.
To the maximum extent permitted by law, NMJ Insight shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.
Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless NMJ Insight, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
These Terms remain in effect while you use our services. Either party may terminate a service engagement according to the terms specified in the applicable service agreement.
We reserve the right to suspend or terminate your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.
Upon termination, you must cease all use of our services and return or destroy any confidential information in your possession.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services or infrastructure.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California.
Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
For active service engagements, material changes to Terms will not apply retroactively without your consent.
These Terms, together with any applicable service agreements, constitute the entire agreement between you and NMJ Insight regarding our services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NMJ Insight.
Our services may integrate with or rely on third-party services, software, or platforms. We are not responsible for the availability, functionality, or terms of such third-party services. Your use of third-party services is subject to their respective terms and conditions.
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or on any U.S. government list of prohibited or restricted parties.
